什么是vie企业？
VIE 企业 (VariableInterest Entity ，直译为「可变利益实体」 ) ，即 VIE 结构，在国内被称为「协议控制」，是指境外注册的上市实体与境内的业务运营实体相分离，境外的上市实体通过协议的方式控制境内的业务实体，业务实体就是上市实体的 VIEs （可变利益实体）。
VIE 企业一般由境外上市主体、外商独资企业（WFOE）和境内经营实体（外资受限业务牌照持有者，如具有办学资质的学校）三部分架构组成。其中，境外上市主体出于税收、注册便利等种种考虑，可能采取开曼公司、香港壳公司等多种甚至并存的多重模式。
到底什么是VIE？
vie：（全称：Variable Interest Entities，翻译：可变利益实体），即“VIE结构”，也称为“协议控制”，为企业所拥有的实际或潜在的经济来源，但是企业本身对此利益实体并无完全的控制权，此利益实体系指合法经营的公司、企业或投资。
2013年3月，李彦宏的“鼓励民营企业海外上市（VIE）取消投资并购、资质发放等方面政策限制”的提案引发产业热议。VIE结构在中国法律规范下仍处于“灰色”地带，尽管有尝试性案例发生，但中国法院尚未对控制协议的合法性做出过肯定。
